IMPORTANT NOTICE: LawQC is a legal document quality control tool designed to assist legal professionals in identifying potential citation errors. It is NOT a substitute for professional legal judgment. Always verify results independently before filing or relying on any document.

1. Acceptance of Terms

By accessing or using LawQC ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and LawQC.

2. Description of Service

LawQC provides an AI-assisted legal document quality control platform that helps legal professionals identify potential citation errors, formatting issues, and other quality concerns in legal documents. THE SERVICE IS PROVIDED AS A TOOL TO ASSIST LEGAL PROFESSIONALS AND DOES NOT CONSTITUTE LEGAL ADVICE. LawQC does not guarantee the accuracy, completeness, or reliability of any analysis, verification, or report generated by the Service.

3. User Accounts and Eligibility

You must be at least 18 years old and a licensed legal professional, law student, or authorized representative of a law firm or legal department to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription and Billing

LawQC offers subscription-based access with unlimited scans on all paid plans. Subscriptions are billed monthly or annually as selected. All fees are non-refundable except as required by law. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. New accounts receive a 14-day free trial with full access.

5. Intellectual Property

You retain all ownership rights in the legal documents you upload. By uploading content, you grant LawQC a limited, non-exclusive license to process your documents solely for the purpose of providing the Service. LawQC retains all rights to the platform, algorithms, and technology underlying the Service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAWQC SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE. SPECIFICALLY, LAWQC SHALL NOT BE LIABLE FOR ANY MISSED CITATIONS, ERRORS, OR OMISSIONS IN LEGAL FILINGS, OR ANY ADVERSE LEGAL OUTCOMES RESULTING FROM USE OF OR RELIANCE UPON THE SERVICE. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE.

7. Professional Disclaimer

LawQC is a quality control tool, not a legal advisor. Results generated by the Service must be reviewed and verified by a licensed attorney before reliance. LawQC makes no representation that its citation verification is exhaustive or error-free. Legal professionals remain solely responsible for the accuracy and completeness of all documents they file or submit.

8. Indemnification

You agree to indemnify, defend, and hold harmless LawQC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association. Class action waiver: you agree that any arbitration shall be conducted on an individual basis and not as a class action.

10. Termination

You may terminate your account at any time by canceling your subscription. LawQC may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease, and all provisions that by their nature should survive termination will do so.

11. Changes to Terms

LawQC reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
